1. Agreement to Terms
By accessing the Codexa Zone website (codexazone.com) or contracting our custom software development, mobile application, web development, SEO, or e-commerce management services, you agree to be bound by these Terms and Conditions.
2. Service Engagement & Project Proposals
- Quotations & Estimates: All official estimates generated by Codexa Zone are valid for the duration specified on the quotation (typically 15 to 30 days).
- Scope of Work: Projects are executed based on the finalized Technical Specification document or Quotation line items. Any changes outside the agreed scope will require a Change Request (CR) and revised budget estimate.
3. Payment Terms & Milestones
- Standard client projects require a minimum 50% advance milestone deposit before development commencement.
- Remaining balances are due upon staging deployment, user acceptance testing (UAT), or final source code/server handover.
- Late payments beyond 14 business days may result in temporary suspension of staging servers or active development until settled.
4. Source Code & Intellectual Property Rights
Upon receipt of 100% full project payment, all custom source code, design assets, database structures, and licenses built specifically for the client transfer to the client's sole ownership. Codexa Zone reserves the right to showcase the completed work in our agency portfolio unless an explicit white-label NDA is signed.
5. Client Responsibilities
The client agrees to provide necessary media assets, API keys, brand logos, third-party credentials, and feedback in a timely manner. Delays in providing required inputs will adjust milestone delivery timelines accordingly.
6. Post-Launch Warranty & Support
All custom web and software applications developed by Codexa Zone include 30 days of complimentary bug-fix support from the date of final deployment. Long-term maintenance and server management are available via Annual Maintenance Contracts (AMC).
7. Limitation of Liability
Codexa Zone will not be liable for any indirect, incidental, or consequential damages resulting from third-party server downtime, payment gateway outages, or unauthorized third-party modifications made to the code after handover.
8. Governing Law & Jurisdiction
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Meerut, Uttar Pradesh, India.
